These Terms of Service ("Terms") govern your use of the TermTree desktop application (the "App"), the termtree.com website (the "Site"), and the account and cloud services provided with paid plans (together, the "Service").
The Service is provided by Document Node Pty Ltd, a company registered in Western Australia, Australia ("we", "us", "our"). These Terms form a legal agreement between you and us.
Two further documents form part of that agreement: our Privacy Policy and the End User Licence Agreement, which sets out the licence terms for the software itself.
1. Acceptance
By downloading, installing, accessing, or using the App or the Site, you agree to these Terms. If you do not agree, do not use the App or the Site.
If you use TermTree for an organisation, you confirm that you are authorised to accept these Terms on that organisation's behalf, and "you" then means both you and that organisation.
2. Age requirements
You must be at least 13 years old to use TermTree, or 16 if you are in the EU or EEA. If you are under 18, you must have the consent of a parent or legal guardian to use the App and to buy any paid plan, and by using the App you confirm that consent has been given.
3. Pre-release versions
Where a release is identified as a beta or other pre-release version, it is provided for evaluation. It may contain defects, change without notice, or lose data, and cloud features may be interrupted or reset while it is in that state. Do not rely on a pre-release version as the only copy of anything you cannot afford to lose.
4. Plans and licensing
- Free — the complete local application, for personal and non-commercial use. There are no feature caps, no limit on tasks or terminal sessions, and no account is required.
- Pro — for one developer's commercial use, including work, employment, and client projects. A monthly or annual subscription includes cloud sync while it is active. A one-time local licence covers commercial use of the versions released during its stated update period and does not include cloud sync.
- Organisation — commercial-use rights for a team, with transferable seats that an administrator assigns and revokes, centralised deployment, and consolidated invoicing. Everyone using TermTree under the plan needs their own seat.
The current plans, prices, inclusions, and update periods are set out on the pricing page and in the description shown to you at purchase. Using the Free edition for commercial purposes, or using a plan beyond the scope you have paid for, is a breach of these Terms.
5. Purchases
Paid plans may be bought through:
- Our online store, where payment is processed by Stripe — completing a purchase means you also accept Stripe's terms
- A platform store, where the transaction is governed by that store operator's terms and we receive only confirmation of the purchase
- Invoice or purchase order, where we have agreed that in writing for an Organisation plan
6. Subscriptions and renewal
Subscriptions renew automatically at the end of each billing period — monthly or annual, as chosen at purchase — unless you cancel before the renewal date. You may cancel at any time:
- From your account page in our online store
- By writing to us at the address at the end of these Terms
- Through the store operator's own subscription settings, for a subscription bought through a platform store
Cancellation takes effect at the end of the current billing period, and you keep access to subscription features until then. When a subscription ends, cloud sync stops and the local application keeps working; nothing on your device is deleted.
If we offer you a free trial, it becomes a paid subscription at the end of the trial unless you cancel first. We will make the length of the trial and the price after it clear before it starts.
7. Fee changes
We may change subscription fees with reasonable advance notice, and will tell you by email before an increase applies to you. If you do not accept a new price, cancel before your next renewal date. Continuing after the new price takes effect means you accept it.
8. Refunds
Except where the law requires otherwise, payments are non-refundable once a licence has been activated or a billing period has begun.
The following statutory rights are not affected:
- Australian consumers — nothing in these Terms excludes, restricts, or modifies any right or guarantee under the Australian Consumer Law that cannot be excluded by contract.
- EU and UK consumers — you have a statutory 14-day right of withdrawal for digital purchases, which is waived once you begin downloading or accessing the software with your express consent. Where that applies, we will ask for that consent before the period ends.
- Platform store purchases — refund requests are handled by the store operator under its own refund policy.
9. Your work stays yours
You keep all ownership of, and all intellectual property rights in, the code, commands, files, terminal output, task maps, and anything else you create or process with TermTree. We claim no rights in any of it.
TermTree runs locally. On the Free edition, and on a local licence without cloud sync, none of the work you do in it is sent to us at all.
If you use cloud sync, you grant us only the limited licence needed to store, transmit, and restore the workspace data described in our Privacy Policy, so that the feature works across your own devices. We do not use that data for any other purpose, and we do not use it to train AI models.
10. Commands, agents, and automation you run
TermTree is a workspace for terminals. It runs the commands that you, or the tools you launch, choose to run, and it does not review, validate, or restrict them. In particular:
- AI agents and other tools you run inside TermTree act with your permissions. They can create, change, and delete files, run arbitrary commands, make and push commits, call external services, and incur charges on accounts you have given them access to.
- TermTree does not supply, proxy, or bill model access. Each tool you run uses its own account and is governed by its own terms and privacy policy, including any restriction on what may be sent to it.
- Status indicators, waiting-for-input signals, and the diff and preview surfaces are aids to supervision. They are best-effort readings of what a terminal is doing, not a guarantee that a task is safe, finished, or correct.
You are responsible for what runs in your terminals and for the consequences, including anything done by a tool or AI agent you launched or authorised.
Keep your own backups and use version control. Review changes before you approve them, and take particular care with commands and agent permissions that can act outside the directory you are working in.
11. Accounts and security
You are responsible for keeping your account credentials and licence keys confidential, and for activity carried out through your account. Tell us promptly if you suspect unauthorised access. You may not create an account for someone else without their authorisation, or use another person's account or licence without permission.
On an Organisation plan, the administrator is responsible for assigning seats only to people entitled to use them, and for revoking a seat when someone no longer needs it.
12. Acceptable use
You agree not to:
- Use the Service in a way that breaks applicable law or infringes anyone's rights
- Attempt to gain unauthorised access to our systems, accounts, or infrastructure, or to probe or disrupt them
- Use the Service to distribute malware, to attack other systems, or to reach systems you are not authorised to access
- Share, resell, sublicense, or otherwise make your licence available to people it does not cover, or work around licence, activation, or seat limits
- Resell or redistribute the App except as the End User Licence Agreement expressly permits
13. Third-party tools and services
The Service works alongside software you install and services you connect, including shells, AI coding tools, Git hosts, identity providers, and payment processors. We are not responsible for those tools and services, for their availability, or for how they handle your data, and your use of them is governed by their own terms.
14. Our intellectual property
TermTree, including its software, design, documentation, and branding, is owned by Document Node Pty Ltd or its licensors and is protected by copyright, trade mark, and other laws. These Terms transfer none of it to you. Your right to install and use the software is set out in the End User Licence Agreement.
15. Suspension and termination
We may suspend or terminate your account or licence if you materially breach these Terms and do not remedy the breach within a reasonable period after we notify you, or immediately where the breach risks harm to other users or to the Service. You may stop using the Service, or ask us to close your account, at any time.
If your account is closed or a subscription ends, account-based features such as cloud sync stop working. The local application, and everything on your device, are unaffected.
16. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPATIBLE WITH EVERY TOOL YOU RUN IN IT, OR THAT IT WILL PREVENT LOSS OF DATA.
Nothing in this section excludes or limits any right you have under consumer protection law that cannot be excluded, including the Australian Consumer Law.
17. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DOCUMENT NODE PTY LTD IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, CODE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING ANYTHING DONE BY A TOOL OR AI AGENT RUN INSIDE IT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF THE TOTAL AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR AUD $50.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions our liability is limited to the maximum extent the law permits.
18. Indemnity
You agree to indemnify and hold harmless Document Node Pty Ltd and its officers, directors, employees, and agents against any claim, damage, loss, or expense, including reasonable legal costs, arising from your breach of these Terms or your use of the Service in a way these Terms do not permit.
19. Governing law and disputes
These Terms are governed by the laws of Western Australia, Australia, without regard to conflict-of-law rules. Disputes arising from these Terms or the Service are subject to the exclusive jurisdiction of the courts of Western Australia, unless consumer protection law where you live gives you the right to bring proceedings locally. Before starting formal proceedings, please contact us so that we can try to resolve the matter.
20. Changes to these Terms
We may update these Terms. We will post the revised Terms on this page with a new "Last updated" date, and for material changes we may also tell you by email or with a notice in the application. Continuing to use the Service after a change takes effect means you accept the revised Terms.
